Using Google Drive as a data room: when a shared folder is enough and when a raise or sale needs more

Last reviewed October 31, 2026

Quick answerA shared Google Drive folder suits a few trusted readers who need no page-by-page view data; Google offers Viewer roles and download settings, but its help pages describe no NDA gate before the first page.

Using Google Drive as a data room: what the folder controls

Yes, a shared Google Drive folder works as a basic data room for a few trusted readers: you choose who can open it, give them the Viewer role and switch off download, print and copy. Papermark's data room page is more cautious: it calls a shared drive fine for internal work but usually not for buyers.

  1. Select the folder and click Share.
  2. Enter each email address or Google Group and choose Viewer.
  3. Set general access to Restricted so only people you named can open it. The Anyone with the link choice lets whoever holds the link open the file without signing in.
  4. Add an expiry date within one year. Google lists expiry for work and school accounts, and for folders only on the Viewer role.
  5. Uncheck the setting that lets Editors, Commenters or Viewers download, copy and print, and uncheck Allow editors to change permissions and share.
  6. Open the details panel and click Manage access to see who holds access.

Folder contents inherit the folder's sharing, and you cannot give someone less access to one file than to its parent folder. One file can be shared with up to 600 individual email addresses.

Dropbox shared links: passwords, expiry and their limits

Dropbox lists link passwords and expiry dates for Professional, Essentials, Standard, Advanced, Business, Business Plus and Enterprise. Its help article does not list Basic, the free plan. In the link settings:

  1. Next to Require password, toggle it on.
  2. Next to Expiration, toggle it on; the link expires at 11:59 pm on the day you choose.
  3. Toggle Disable downloads on. Dropbox says this does not prevent people from saving the content by other methods.

Viewer info shows whether someone is looking at a file now, and on paid plans when someone last viewed it. Anyone who opens a link without an invitation appears only as a Guest, with no name or email.

What a folder does not show investors or buyers

Neither Google's nor Dropbox's help pages describe page-by-page view data per visitor, an NDA before the first page, a dynamic watermark or a separate group for each buyer.

Both platforms do record some viewing. Google documents a view history for work and school accounts that names who viewed a Google Doc, Sheet or Slides file and when. Only editors in the same domain as the file owner can open it, and Google says it is not meant for auditing or legal purposes.

Papermark says a shared drive cannot require an NDA before the first page or show which pages each buyer read. Visible's startup data room guide, a vendor guide, advises a dedicated data room tool over a shared Google Drive folder.

When the folder is enough and when to move to a data room

A folder is enough for a few readers you already trust who need no page-by-page view data. Move to a data room when many investors or competing buyers will open the files and you want to know which pages each read.

A raise also releases files in stages. Papermark's help center puts the deck and one-pager first, the model, key metrics and demo at follow-up, and the cap table, incorporation documents and contracts at lead-investor diligence. The startup data room checklist expands each stage.

The step between: free view analytics, then a room

Papermark's Free plan adds page-by-page analytics to shared documents with no credit card, and its Data Rooms plan adds an NDA gate, dynamic watermarks and viewer groups; the free data room software guide sets both beside the other free routes.

Free is $0, and the is Papermark free guide covers its limits. Data Rooms is $179 a month billed monthly or $119 billed annually for 3 team members, as read on October 31, 2026.

To move a folder in, create a data room, name it and drag files in with Bulk Upload; Papermark's help pages describe uploading files, not importing from Drive or Dropbox. Moving a folder into a Papermark data room can be tried for 7 days on its data room plans.
